1. Introduction

These Terms & Conditions apply to the business utility brokerage and related services provided by ECO Utilities Ltd (company number 15745405), trading as ECO Utilities (“ECO Utilities”, “we”, “us” or “our”). They explain the basis on which we provide services to business customers (“you” or “your”).

Please read these Terms & Conditions before asking us to obtain quotations or arrange a utility contract. We will make these terms available to you before you proceed. Any separate supplier contract will also have its own terms and conditions.

2. Our services

ECO Utilities currently provides brokerage and related assistance in relation to business gas and electricity. Depending on your requirements and the arrangements available to us, our services may include:

  • obtaining and presenting available business gas and electricity quotations;
  • explaining quoted rates, standing charges, contract durations and relevant conditions;
  • assisting with the application and contract arrangement process;
  • supporting customers with contract renewals and supplier queries; and
  • providing related account or contract administration assistance where agreed.

3. Our role as an energy broker

ECO Utilities acts as an intermediary, helping business customers explore available gas and electricity contract options from energy suppliers. Our role may include obtaining quotations, presenting available options, explaining pricing and contractual conditions, and assisting with the application and contract arrangement process.

ECO Utilities is not an energy supplier and does not generate, distribute or physically supply gas or electricity. The energy supply contract is between you and the supplier identified in the supplier’s contract documentation. The supplier is responsible for providing the energy supply and fulfilling its obligations under that contract.

We do not represent that we compare every supplier or tariff available in the UK market. Availability depends on supplier participation, customer eligibility and market conditions.

4. Future services and availability

ECO Utilities may offer brokerage or related services for business water and telecommunications in the future. Those services are not represented as currently available unless and until ECO Utilities confirms that they are being offered.

The suppliers, products and tariffs available may vary depending on your location, consumption, eligibility, market conditions and the commercial arrangements available to us. We do not guarantee access to every supplier or tariff in the market.

5. Quotations and pricing

Quotations are based on the information available at the time they are obtained. Prices and offers may depend on consumption, meter and supply details, contract start date and duration, credit or supplier eligibility checks, market conditions and supplier pricing.

Unless expressly confirmed otherwise in writing, a quotation is indicative and subject to supplier confirmation and acceptance. We will communicate the relevant rates, standing charges, contract duration, proposed start date and material conditions before you are asked to authorise an application or proceed with an offer.

A quotation from ECO Utilities does not itself create an energy supply contract. A supply contract is formed in accordance with the supplier’s acceptance process and contract terms.

6. Customer authorisation

Before proceeding with a quotation application or contract arrangement, ECO Utilities obtains customer authorisation through a Letter of Authority (LOA). The LOA records the authority you give us and the activities we may carry out on your behalf.

By signing or otherwise validly providing an LOA, you confirm that you are authorised to represent the business; the information you provide is accurate and complete; you have permission to provide relevant business, meter and supply information; you authorise ECO Utilities to carry out the activities specified in the LOA; and you understand that any energy supply contract is subject to the relevant supplier’s terms and acceptance process.

The scope of the LOA determines the activities ECO Utilities is authorised to undertake. An LOA does not, by itself, constitute acceptance of a supplier contract unless it expressly and validly grants that authority and the supplier’s own requirements are met. We may request further documents or information to verify your identity, business details and authority. We will not knowingly carry out an activity requiring customer authorisation without obtaining the appropriate authority.

7. Supplier contracts

If you accept a supplier’s offer and the supplier confirms the contract, you enter into a separate contractual relationship with that supplier. The supplier’s contract governs matters including rates, standing charges, contract duration, billing, payment, meter readings, commencement, renewal, termination and any applicable exit charges.

You should read the supplier’s contract documentation carefully before accepting an offer. We may assist with the arrangement process but cannot guarantee that a supplier will accept an application or commence supply on a particular date.

8. Commission, fees and payments

ECO Utilities does not currently receive commission payments from energy suppliers or third parties for the services described in these Terms & Conditions.

ECO Utilities does not currently charge customers a direct brokerage, service, cancellation or administration fee for these services. Customers remain responsible for amounts payable directly to their energy supplier under the supplier contract, including consumption charges, standing charges and any other applicable supplier charges.

If ECO Utilities’ remuneration arrangements or customer-facing fees change, we will explain any relevant payment or remuneration arrangement clearly before it applies to the affected service or arrangement and obtain any agreement required.

9. Customer responsibilities

You agree to provide accurate and up-to-date business, contact, meter and supply information; tell us promptly about relevant changes; provide documents reasonably required for an application or verification; ensure that you have authority to act for the business and enter into any supplier contract on its behalf; review quotations and supplier contract documents before accepting an offer; pay amounts due to your supplier in accordance with the supplier’s terms; and tell us promptly if you identify an error in information submitted on your behalf.

We are not responsible for delays or rejected applications to the extent they are caused by inaccurate, incomplete or late information supplied by you.

10. Cancellation and termination

Business energy contracts are subject to the supplier’s contract terms and applicable law. Once a supplier contract has been validly accepted, it may be legally binding. There is not necessarily a general cooling-off period for business energy contracts.

Cancellation, termination, renewal, notice requirements and early termination charges are governed by the relevant supplier contract and applicable law. You should check these provisions before accepting a supplier offer.

If you wish to withdraw an application before supplier acceptance, contact us as soon as possible. We will explain what action may still be possible. ECO Utilities does not charge its own cancellation or administration fee for withdrawing an application under its current fee policy. This does not remove any amount that may be payable to a supplier under a contract you have accepted.

11. Our responsibilities

We aim to provide clear and accurate information about our services, communicate quotations and relevant contract information clearly, explain our role in the arrangement, be transparent about our remuneration arrangements, handle customer information responsibly, respond fairly and promptly to enquiries and complaints, and take reasonable care when processing information and applications.

We cannot guarantee that a supplier will accept an application, maintain a particular tariff or provide services without interruption.

12. Supplier responsibilities

The supplier is responsible for its own supply services and contractual obligations. These may include supplying gas or electricity, issuing bills, managing meter readings and consumption information, processing payments, handling supply interruptions and technical issues, managing supplier account queries and applying its own contract terms.

Where a complaint concerns the supplier’s delivery of its services, we may help direct you to the appropriate supplier contact. Complaints about ECO Utilities’ own actions, advice, communications or brokerage services may be raised with us under our Customer Complaints Procedure.

13. Complaints and dispute resolution

If you are unhappy with any aspect of our services, you may raise a complaint using the following contact details:

Email: info@ecoutilitiesltd.co.uk | Telephone: +44 161 240 3474 | Post: 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

Our stated service standards are to acknowledge complaints within one working day, provide progress updates every five working days and aim to resolve complaints within ten working days. Further information is set out in our Customer Complaints Procedure.

If a complaint is not resolved, you may be able to refer it to an independent dispute resolution service where the complaint and our business are eligible under that service’s rules. ECO Utilities will publish the relevant scheme name, membership details, ADR number and referral information only after membership has been formally approved and activated, and in accordance with the scheme’s requirements.

14. Data protection and privacy

We collect and use personal and business information to respond to enquiries, obtain quotations, arrange applications and contracts, provide related support and meet our legal and regulatory obligations. We handle information in accordance with applicable data protection law and our Privacy Policy.

Our Privacy Policy explains the categories of information we collect, purposes and lawful bases for processing, who information may be shared with, retention, security, any relevant international transfers and the rights available to individuals.

15. Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful. Nothing in these terms limits liability for fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

We are not responsible for a supplier’s failure to perform its own contractual obligations, except to the extent that loss is caused by our own breach, negligence or other actionable act or omission.

Subject to the preceding paragraphs and applicable law, we are not liable for indirect or consequential loss. Any limitation or exclusion of liability will apply only to the extent permitted by law and must not remove rights that cannot lawfully be excluded.

16. Events outside our control

We are not responsible for delay or failure to perform an obligation to the extent it results from circumstances beyond our reasonable control, such as natural disasters, severe weather, widespread communications failures, industrial action, government restrictions or significant market disruption. We will take reasonable steps to reduce the impact where practicable.

17. Intellectual property

Unless otherwise stated, content on the ECO Utilities website, including text, branding, logos, graphics and other materials, belongs to ECO Utilities Ltd or its licensors. You must not reproduce, distribute or commercially use that content without prior written permission, except where permitted by law.

18. Changes to these terms

We may update these Terms & Conditions to reflect changes to our services, business operations or applicable legal requirements. The current version will be published on our website with its effective or updated date. Where a change materially affects an existing arrangement, we will take reasonable steps to communicate it where required.

19. Governing law and jurisdiction

These Terms & Conditions are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes relating to these terms, subject to any mandatory legal rights or protections that apply.
